Pride Society 'in crisis': former director

The Vancouver Pride Society (VPS) now has a sparse board of directors after a slim majority of members reelected Ken Coolen to serve a second term as president. Coolen's reelection prompted several directors to step away from the board at the organization's annual general meeting on Jan 21.

"A number of people have been questioning the leadership," says outgoing treasurer Bernard LeClair. "I have been questioning the leadership."

"If it wasn't for Ken [Coolen], there would be a full executive and full board, but no one wants to run because no one wants to sit under him," says former sponsorship coordinator Caryl Dolinko, whose contract the VPS terminated prematurely last July.

"There was a mass withdrawal of directors from the board due to Ken Coolen's leadership and behaviour," says VPS member and former director Chris Ellis, who could not attend the meeting.

"The VPS is in crisis -- needlessly so," Ellis says.

Ellis says he urged Coolen not to run again. He believes someone else should be VPS president.

Coolen narrowly beat VPS member and past volunteer Chrissy Taylor by just two votes, 21 to 19, prompting a recount.

Some members questioned the recount's accuracy since at least 10 minutes elapsed between the first and second count, during which time four voting members may have left the room. But VPS general manager Scott Blythe assured members the vote was legitimate.

Of the four directors remaining with Coolen on a possible 12-person board, former vice-president Shawn Ewing says she is planning to resign at the next board meeting on Jan 24.

If no new director is appointed to fill her seat, the board won't be able to function since the society's bylaws require a minimum of five directors for quorum.

"This isn't a personal thing. I love Ken, the person, dearly. He has done some wonderful things for the organization and the community," Ewing says. "This is about the leadership of an organization I care very deeply about. He is not the right person to lead."

Ewing says she, too, shared her concerns with Coolen prior to the meeting. She says the meeting's outcome is "a clear message from the people Ken has worked with for the past three years that they will not work with him as president for a multitude of reasons, but mostly he is not a leader and does not have their respect."

"He knew beforehand if he stood again, that those people would not run or participate, and the board would be crippled as it is," Ewing alleges. "He knew that people that were keenly interested in standing for director at large would not stand if he was elected."

"He is completely aware the board will be receiving my resignation at tomorrow night's meeting," she continues. "He doesn't care about the board support, and it appears he doesn't really care what effect his actions have for VPS."

"I'm the first to admit that I haven't been perfect, but I've always been open to the feedback of the community," Coolen says. "I think I am a good leader, and obviously the community thinks I am a good leader or else I wouldn't have been elected."

"If I thought I was a poor leader then obviously I wouldn't have run," he continues.

"The reason why I ran," he says, "is because I love what Pride stands for. I love that it's about giving people the opportunity to express their individuality and celebrate who they are."

A proposed bylaw amendment to prevent VPS presidents serving two consecutive terms was defeated by the membership at the meeting. Ellis moved the proposal, which was seconded by former VPS president John Boychuk.

Ellis also proposed an amendment to allow only individual VPS members to nominate directors -- stripping community organizations, which are also VPS members, of their right to nominate.

Ellis told Xtra he introduced the motion in part to block Jennifer Breakspear's nomination of Coolen for president. Breakspear is the executive director of Qmunity, BC's queer resource centre and a VPS member.

"This bylaw serves to set up a two-tiered system of membership of the VPS," Breakspear told the meeting. "Frankly, right off the bat, that scares the shit out of me."

Drag queen Joan-E agreed. "I'm very concerned about this proposed amendment," she said. "My fear is that it is really going to alienate people along the way."

Had the proposal passed, it would have left community organizations like the Dogwood Monarchist Society, of which Joan-E is a member, without a seat at the table, she said. "And these are people who have raised hundreds of thousands of dollars for this community -- including to the Pride Society."

The amendment failed.

Some members suggested that Dean Nelson, who holds an organizational vote for WinterPride, which Coolen co-owns, should have excused himself from the vote due to conflict of interest. Nelson held three ballots in the vote.

But Coolen said Nelson's votes were legitimate, according to the VPS bylaws, as he held an independent vote and two organizational votes -- one for WinterPride and the other for the Mr Gay World organization, both of which are members of the VPS.

There was no conflict of interest, Coolen says.

While some members challenged Coolen's leadership, others backed it.

"I think Ken has been a really good leader, and I look forward to working with him in the future," Breakspear told Xtra after the meeting.

"I'm very happy to be on the board. I'm very proud to represent the community and, more importantly, get to serve the community as I have in the last two years," says Raigen D'Angelo, who was reelected to the board for a second term.

The VPS's latest financial statement shows it ended the year with approximately $22,000 surplus, almost $11,000 less than the previous year's surplus.

Blythe says the organization's expenses were higher last year due in part to security costs more than doubling following the Stanley Cup riot.

Though the city's bill for enhanced policing post-riot was higher than anticipated, Blythe says the VPS's decision to replace its own volunteer security with paid professionals had already been made and budgeted for. It's part of a push to make the VPS more professional, he says.

"We came in pretty close to our budget, actually," Blythe notes.

An eye-opener
If Ken thinks he's such a good leader, then why is it that his entire board refused to work with him if re-elected? Sure, everyone thinks they're perfect -- but I think now is the time for him to take a look in the mirror, a long hard look. There's obviously issues here and it's a shame that the entire queer community will suffer for Ken's selfish transgressions. Shouldn't we be putting the movement and the community ahead of ourselfs?

With greatest respect....
Some of you know me, many of you don’t. I’ve volunteered for Qmunity, WinterPride, Pride House and other organizations – but most importantly for the Vancouver Pride Society as a director for over two years. Like many at the VPS, I kept my head down, did my job, supported other community organizations, gave the best advice I could to the board and avoided controversy and the media. It was an amazing experience which I recommend to all of you. Each of the board members (including Ken) has volunteered thousands of hours of their personal time so that Vancouver can have one of the best series of Pride events in North America. So before anyone criticizes those who are quoted or named in this article (as happens in these comment sections), you should know that none of us wanted this. The board tried for a long time to resolve this internally to save reputations and hurt feelings. Whether their quotations made it into this article or not, those who spoke up should be thanked for shedding light on this unpleasant matter. I echo Shawn’s words that Ken “has done some wonderful things for the organization and the community” – but board members reached the limit of what they could withstand. Clear evidence of that is the concern about ‘leadership’ in the article and the decision of many to resign or not run at the AGM last weekend – a drastic step for people who love Vancouver Pride and the worldwide Pride movement and who wanted to remain on the board. I call on someone to also take a big brave step and do what by now he must know is in the best interests of the VPS and the community. He will regain the well-deserved respect and admiration of many of us if he passes on the torch to someone else.

Ken's in la la land
How can that man say "obviously the community think im a good leader or else i wouldnt have been elected"? Is he really that delusional? He had a vote, business partner HAD THREE VOTES, and his child had one. That's five votes and Ken won by two. Its pretty clear that with three candidates, the community was devided and Ken swooped in with his five votes and still barely made it.

This is Disgraceful, Despicable and Disgusting
I can't believe that Jennifer Breakspear of Qmunity failed to disclose that their organization receives money from Vancouver Pride's legacy fund (which, funny enough, Coolen heads the committee that funds them) and that they are also the only organization at Winter Pride given the opportunity to raise money there too (again, Ken is the co-owner that gives them that privilege). Of course she wants to have Ken as the President of Pride, who would want to bite the hand that feeds them??? To nominate him, oppose a bylaw that has him remain in power and then vote for him...shame on you. If Qmunity has any ethics left, perhaps they can teach her how to abstain from a vote or teach her about conflict of interest. As for Mr Coolen, he is a disgrace to Vancouver Pride. If directors you work with don't respect you enough to continue on under your leadership and choose to leave rather that work with you, take a hint, a big one. It's time to go! Both of these 'leaders' (and I use this term loosely) should bow out before the community throws them out!

Setting the record straight (so to speak).
This is a well-written and balanced article. I know the author wasn't aware this story was going to be so big - even though there is much more that could have been said. I'd just like to set the record straight on a few points about my motions. I didn't introduce them to block Jennifer's nomination or prevent Ken from running at this AGM. My understanding of the law is that if they had passed they would not have taken effect immediately - at least not until the adjournment of the AGM or until the bylaw changes were registered in Victoria - long after the election. Certainly that is the policy we practiced when I chaired the committee that ran the past two VPS AGMs. It is a mischaracterization to say the nomination motion 'created' a two-tiered membership - that already exists at the VPS between individuals and organizations. My motion would simply have clarified the long-standing VPS practice that organizations do not nominate to the board but do vote on motions and have a secret ballot in the election just like other members. This is to avoid board members from being beholden to interests outside the VPS as, by law and fiduciary duty, they are required to protect and put the VPS interests before their own. This was clear in the written explanation I provided to members along with the motion. Finally, the motion to prevent the President from serving more than one three-year term did gain majority support at the AGM - but not the high 75% threshold required to change the bylaw. You can draw your own conclusions from that....

Time to move on Coolen and Breakspear
As a young queer person living in Vancouver, working in social justice/nonprofit, I'm really disappointed that the biggest "LGBT" organizations are absolutely irrelevant to me and many of the folks I share community with. And it's also a shame that a young queer person, running for President, was outnumbered by a greedy power-hungry person who needs to move on and make way for new, competent, and relevant leadership. And of course Jennifer Breakspear is going to support Ken, Qmunity gets money from VPS's legacy fund! Speaking of moving on, perhaps Jennifer should start her succession planning. The queer community NEEDS its resources, supports, and services BACK!

watch the money...
We just read and shared this article around the office and the consensus is that if the head of Vancouver Pride is willing to put himself before the organization, it's just a matter of time before his friends and colleagues start benefiting financially from the organization...and then the issue will be about mismanagement of funds and we'll watch him justify his actions then too. This is a slippery slope and we'll put our money elsewhere until we can see the management change...Sorry, we'll give it to groups that are on solid ground.

Need for change is obvious
There are several boards I have seen this happen to. One person believes he is the organization and all others are there to serve him. This is very dangerous. The only way out of it is for that person to leave and let pride move on.

corporate nominations?
Hold on a minute. Pride allows CORPORATE nominations and CORPORATE votes? Not to sound paranoid, but the Community needs to remain vigilant. Do we want TD to nominate candidates to run Pride? TD already owns the Davie Dance Party, but if they nominate someone, won't that person "owe" their position to TD? So what about the City of Vancouver? The NPA or gosh forbid the Conservatives or the BC Liberals? None of these corporations should be allowed to influence Van Pride Society ONE BIT. The VPS already has a two-tiered membership (as stated above). If the community groups/organization/societies think that being a voting member on Pride is so damn important, then fork out $10, buy an individual membership and nominate and vote for candidates individually. This is fearmongering by Breakspear, Qmunity and Ken, and it doesn't belong in our Community...

Governance
As pas Chair of Governance and VP of Pride,I am both encourage and sadden by the community discourse on issues of Governance at VPS. When I worked on the Bylaws committee there was a motion brougth forth by the members at an AGM. There had been 3 attemps before but they all failed because the membership had not passed such motion. Once that motion was passed by the membership I had received a mandate to do community discussion and involvement in amending and changing the bylaws. That is proper governance. Those bylaws were then passed at the SGM with only 1 oposition.I was also part of the transition of VPS becoming a more professionally run organization. It is and was a very difficult transition. This was not done by one person but rather by the whole of the community members and those of us who volunteered countless thankless hours.We pride ourselves in the achievement and we eat and spit out those who fall from grace without supporting them.Having said this, back then there was alot of issues with Mr. Coolen and alot of conflict were brough up about his leadership.This seems to continue 3 years later.I wonder why.I have always said that when your staff whether paid or unpaid resigns then you do not have the support needed in your leadership. It is time for a 360's evaluation of yourself Mr. Coolen. Also if you choose to close your eyes on an issue then your are part of the problem and not part of the solution. There may not be alot of proven conflict of interest but there sure is alot of unethical behaviours.Conflict of interest is clearly defined as having a financial gain...so lets take a look at this. Are you still collecting the air mile points on your own personal credit card for purchases made on behalf of VPS.If you are in charge of a committee that makes decision on who gets what money and the individuals or organization nominate you for Preisdent can we then say that this is clearly not a conflict & if your buisness partner holds 3

Governance part 2
So to further if your buisness partner holds 3 votes isn't that clearly a conflict of interest. The big one is the bylaws and the Society's Act section 58 one vote per person. If an organization holds a proxy vote on behalf of an organization it behoves that organization to provide a letter nominating that person and they should have had a discussion at the board level with due process as to which way they are going to vote....otherwise the individual doesn't represent that organization. Now as for buisnesses that is different. That is why it is called a conflict of interest and why the President of VPS should not bring motions either himself or herslef or through others to have the VPS in a venture with his buisness partner without giving the same opportunity to other buisness. Clearly you are a major part of the conflict and clearly many people have said that there is a conflict. It behoves you to do the rigth thing for the VPS and the community at large and to remove your ego from it. I have faced similar issues and have faced similar outrage and anger and what happened at the end is the organization lost all of it's financial support from the funders...You need to think about the bigger picture and remove your blinders.

Successful Prides all that counts
As an independent media person I have to say that I have observed that the last three years of Pride have been some of the best ever AND the VPS is in good standing financially. This is obviously a tribute to leadership. I've interviewed Ken personally and have seen his passion for Pride. Had I been a member and at the VPS meeting who would have gotten my vote. I have seen over the years how much personal infighting and fractiousness there has been within the VPS. I really DONT CARE about all those gritty inner working details and character issues. As long as Pride comes off as well as it has; then that is all that matters to me and most people who celebrate and volunteer for Pride. Under Ken's leadership, it has. In fact the local, provincial, and international out-reach have brought a much needed boost to our local perspective; as has the greater attempt to include the trans community. I don't really care who is individually responsible for that - as a board it got done - and Ken chaired the Board that got it done. Simple as that. That's all we on the outside need to see. Those who have stepped away from the VPS Board have made their decision. Now they need to stay out of the way and let the success of the past three year's Prides continue into the next three years. I hope the Board reaches out and invites new blood to the table if the old members have decided to abandon it because of the usual character conflicts and infighting that has plagued VPS for decades for some reasons: Personal ambitions and often hypocritical accusations of conflict of interests not least among them. Best of luck Ken and the new VPS, congratulations and ganbatte (good luck). You got MY vote.

We did it despite Ken, not because of him
Stephen is dead wrong and doesn't know what he is talking about. As someone who observed up close what was happening on the inside of the VPS, it was clear that the advances made by Vancouver Pride in the past few years were made despite Ken Coolen's presence and not because if it. The extraordinary talent of the board in recent years is what drove the advances. Ken was only interested in being the 'front man' and the 'face' of Pride. He is very good at saying 'I' did something and not 'we' accomplished something. He doesn't hesitate to take credit for the hard work and initiative of others. He lacks the vision and skills to take Pride to the next level. His main preoccupation in recent years has been showing off at other Prides and conferences and promoting his personal business interests. He has been repeatedly rejected for leadership positions in the Canadian and international Pride organizations because of his attitude and tantrums. Far from being accepted by those organizations, no one wants to deal with him. The people to be congratulated are the ones who are standing up for Pride by challenging Ken Coolen. They didn't step away voluntarily, they were driven away by disgust and frustration. All of this is Ken's fault. He is the one who is damaging Vancouver Pride with his ego and lack of management skills. It should be clear to everyone that a good leader doesn't force the best and most talented people to leave, not just this year but in the past three years. Anyone who says otherwise is in deep denial, is completely ignorant of the facts or is more interested in riding Ken's coattails than doing what is best for Vancouver Pride.
