Pride Toronto’s annual general meeting (AGM) is coming up fast on Thu, Sep 17, but executive director Tracey Sandilands says the meeting won’t include an opportunity for nonmembers to publicly weigh in on the Pride 2009 festivities.

“Not formally,” says Sandilands. “It’s a closed agenda and it appeared well in advance. Obviously if anyone wants to talk to one of the board or staff separately afterward or during the break, they can probably do that. But there won’t be an opportunity to formally raise items that are not on the agenda.”

While anyone interested in attending the meeting can do so, only Pride Toronto members will be eligible to vote on the business at hand.

“Anyone can come but only members will be allowed to vote,” says Sandilands. “They will have to sign the membership register and will have to be on the membership register.”

Sandilands says those wishing to become a member of the not-for-profit organization are welcome to do so — but she adds it’s too late to be allowed a vote at the AGM unless you’re already a member.

“Even if they join as a member on the day [of the AGM] they won’t be able to vote,” says Sandilands, “because they must have done eight hours of volunteer work in the past year in order to qualify to vote... and there’s absolutely no opportunity between now and next week for anyone to chalk up eight hours of volunteer work. We’re quiet at the moment, there’s nothing really happening.

“Really the point for [the AGM] is for people who have been involved for a fair amount of time, so they need to be the ones who have the say.... But yes, anybody can attend, though there may not be a lot of point to it.”

Sandilands says the upcoming meeting will report on the past year’s activities and hold elections for up to three spots on Pride’s board of directors, including the male cochair position.

“There will be feedback on the past festival year and there will be a bit of an annual report presented,” says Sandilands.

“There are also some various positions that have not been filled up to now, that were empty this year and we now have candidates to stand for those positions, so they’ll be standing for election. There are candidates for the cochair position and they’ll be voted in on a yes or no basis.”

Although the list of nominees has not yet been made public Sandilands says it will be announced before the meeting, after the nominations committee has made its recommendations to the board.

Nominations closed on Aug 14. Potential board candidates must be Pride members in good standing who are willing to commit to a three-year term. They’re expected to devote an average of five hours a week to Pride duties, as well as attend a majority of monthly board meetings and participate in other events as necessary.

The meeting, scheduled to begin at 6:30pm at the Best Western at Carlton and Jarvis, is expected to run approximately three hours and attract around 60 attendees, estimates Sandilands.

“The first hour will be the report and the voting process,” she says. “Then there’ll be a bit of a break while the count is done and they check the votes. After the break we’ll show some video footage that was taken during Pride and then they’ll announce the results of the election.”

In addition to the election Sandilands says the meeting may include some preliminary discussion of next year’s Pride Week events.

“I think part of the process of the annual report will be some talk of the plans for the next year, although the plans have not been formulated in full yet. But the presentation will include whatever plans we have so far for the next year. “

Pride members who cannot attend the AGM in person can still vote by written proxy, but they must first contact Pride Toronto’s secretary of the board to have a form mailed to them. The filled-out and signed form can then be returned with a Pride Toronto member who is attending the meeting. Each member in attendance is allowed to hold just one proxy vote.

“It’s not a very exciting meeting,” says Sandilands, “but it’s one of those things that by law we have to do once a year.”

This past Pride faced some unique challenges, given the high staff turnover between the 2008 and 2009 Pride festivals and the controversy around the inclusion of political organizations in the Parade, particularly Queers Against Israeli Apartheid (QuAIA).

“The whole political thing [the controversy over QuAIA's inclusion] was unfortunate... we’ll be looking at various options between now and next year,” Sandilands says. “But we couldn’t have really done anything different at the time.”

Who is or is not a member of Pride Toronto?
Part 1 of 2 Ms Sandilands is being somewhat disingenuous by referring to only one criterion for PT membership & implying that in order to vote by proxy, they must fill out a "form". From Pride Toronto's own Bylaws ... (In part) “MEMBERSHIP #3) The membership of the Corporation shall consist of such individuals whose application for admission to the membership has received, in its sole discretion, the approval of the Board of Directors of the Corporation in each fiscal year. #4) The term of annual membership starts at the conclusion of one AGM and ends at the conclusion of the next AGM. Individuals shall be eligible for annual membership in the Corporation if they: a) Support the objects & activities, including Mission, Vision & Values of the Corporation; AND b) Meet at least ONE of the following criteria as documented by the Corporation: i) Attend at least three (3) committee meetings; ii) Attend at least three (3) General Meetings; iii) Volunteer for at least eight (8) hours; iv) be an employee of Pride Toronto OR v) Be approved for membership by the Board. #8) A member may vote at an Annual General Meeting by proxy in writing or by email delivered to the secretary no later than 48 hours prior to the meeting.” There is nothing in their bylaws that mentions a "form" MUST be mailed to a member and that form then needs to be returned, nor includes any language that limits the number of proxies an individual member may hold or use for casting votes. I.e. According to their own bylaws, a member can arrive with any number of proxies, providing the original has been given to the Secretary of the Board 48 hours in advance ... AGM or Welcome to the Rubber Stamp Show?
Part 2 of 2 The following business shall be conducted at the ANNUAL General Meeting: e) Appointment of auditors and fixing or authorising the Board of Directors to fix the remuneration of the auditor; and f) Any other business that may be properly brought before the meeting. Ms Sandilands states that it won’t be an exciting meeting (because?) “it’s one of those things that by law we have to do once a year.” I find it curious that a General Meeting was called only one week before Pride Week ’09 in order to appoint a new auditor when their own bylaws clearly indicate that this business MUST be conducted at an Annual General Meeting. This other meeting was held on June 11th in a room that only held 12-15 people at a maximum. While this AGM might not “be exciting”, it could be very interesting since (as a member in good standing) I would like to hear why (exactly) the organization has subverted its own bylaws. AGM -
The annual general meetings (AGM) often is a strange hybrid of business meeting and stage show. Properly conducted, a board will have “an audience” of interested stakeholders. These people expect to see a well-run meeting; hear a recap of the activities of the board and the organization itself; review the financial information; and be given the opportunity to ask questions, in order to demand accountability. In preparing for this primary communication tool between the board and its stakeholders, likely other communication during the year has been one way, i.e., from the board to interested parties. Although this form of communication is useful, minutes of the meetings, newsletters and other updates do not invite comment. Additionally, stakeholders may have communicated with staff or individual board members, but have not really had the opportunity to hear and be heard. Incorporated non-profit organizations are required by law to hold an annual general meeting. Ensuring that this statutory business has been properly disposed of is part of good governance. The purpose of the AGM is to: ? read and correct the minutes of the previous AGM ? approve the audited financial statements including reports to the board ? receive committee reports not included in the financial statement ? approve amendments and additions to bylaws ? call for nominations to the board and/or receive the report of the nominating committee ? elect new directors ? elect the auditor ? transact any other business This meeting should be planned down to the last detail; in fact, many boards This meeting should be planned down to the last detail; in fact, many boards prepare scripts to help ensure that every relevant area receives attention. This article doesn't sound like Pride Toronto wants its members to be that involved at all. Strange thing!

Volunteer Committee Coordinators, Quit or fired?
Pride Toronto's volunteer committee coordinators page is almost blank now. Gone were the days volunteers are valued in the organization. Most non-profit understands that volunteers are among the most important assets in the organization. Their countless hours of donated time and their passion and commitment are critical to the well-being of the organization. Their contribution is not quantified, it does not appear on the balance sheet, nor does it show up as expenditure. But the value of their commitment can be compromised. When a board fails to provide transparency in the processes it uses to conduct business—or when it seeks or appears to avoid accountability—there is a real danger of losing the trust and confidence of volunteers.

AGM Essential to Accountability
As a former staff person and Volunteer Coordinator with Pride Toronto (I served as the Entertainment Coordinator, Artistic Director and Arts & Entertainment Program Manager respectively from 2004 to 2008), I am concerned with the tone that the Executive Director is taking in this article concerning the Annual General Meeting. Though not always easy, it has been the practice of Pride Toronto to allow anyone to attend and to speak at the Annual General Meeting, though only members could vote. This ability for the public to address the staff and Board of Pride Toronto once a year at the Annual General Meeting has been an essential part of the accountability of the organization to the public and membership that it serves. As a former staff person I answered questions on everything from my programming decisions, and the expansion of the arts program at Pride, to my personal qualifications for the position that I held. While it was uncomfortable for me, it was an essential part of the process of reporting to the community that I served in my position. The new board and staff of Pride Toronto seem to be moving away from this model of membership and accountability, viewing these requirements of their incorporation as a nuisance, as can be seen in Traci Sandilands quote: “It’s not a very exciting meeting, but it’s one of those things that by law we have to do once a year.” The board of directors and management have also made sweeping changes to the organizational structure, replacing many year round volunteer positions with contract staff, without membership or community consultation. This fundamentally changes Pride Toronto’s long and rich history of being a volunteer lead organization. Feedback on the AGM
While I thank the reader who said 'Give the ED a break' I'm not quite in need of refugee status yet :-) What I would like to do is correct some of the misperceptions that seem to be upsetting some of the readers. At no time did I say questions from the community would not be permitted. I said that the Agenda was closed (fixed) and it is - it is indeed a well-planned agenda that makes allowance for feedback on the 2009 festival, financial reporting and broad strategy for the coming year, and anyone in the audience will be welcome to ask questions relevant to these issues. Audited statements will not be available yet, as by law these are only required six months after the end of the fiscal year and in our by-laws, only financial reporting is required, not audited statements. These will however be available at a later date and we decided not to delay the AGM and the election of new directors to wait for them. With regard to the volunteer co-ordinators, a number of co-ordinators completed their two year terms at the end of the last festival year (end July 2009) and we are currently conducting exit interviews for those who are not planning to renew, and performance evaluations for those who are. All staff are undergoing exactly the same process, including myself. Furthermore, an additional six volunteer committees have been created which will require twelve new co-ordinator roles to be filled. Pride Toronto has absolutely no plans whatsoever to replace volunteers with paid staff, and augmentation of the - very stretched - workforce during the busy period does not mean we will no longer need volunteers. Neither does the organization have any intention of ever becoming a for-profit concern, or of no longer being volunteer-based. Pride Toronto has no intention of being anything but transparent and accountable, and I invite anyone who has questions on any issue to feel free to contact me at tracey@pridetoronto.com. Is Executive Director tells a truth or not?
I fear that the current Executive Director is instrumental in not telling the whole truth about the AGM on this Thursday. There have been just lies and more lies. Are there hidden agendas that she doesn\'t want to tell the members and the LGBTTIQQ2S communities? The members and the communities have the rights to make her (and the Board) accountable for their actions to members of Pride Toronto. Come to the AGM and have your voice heard! Make the Board of Directors and Executive Director accountable for his/her actions about the organizational changes.

An Open letter ...
An Open letter to the Executive Director and Board of Directors of Pride Toronto Dear Ms Sandilands (and Board Members: In the above article (posted Sept 10th) and again in your response (posted Sept 14th) you clearly state that "the Agenda was closed (fixed)" ... How is it then, that only today (Sept 15 @ 3:28 pm) a NEW Agenda was emailed to members via a newsletter? This new Agenda now includes three motions to revise the by-laws. The most significant of which is a resolution to amend Section #4 which deals with the definition of a member. Unfortunately PT's newsletter does not include further information on the wording of the any of the resolutions being proposed, nor the reason that these are being announced only 48 hours in advance of the AGM. There is also another resolution being proposed to change the organization's status to that of "charitable", yet no documentation has been provided outlining the Board of Director’s reasoning for this proposal, nor how this change in status would/could beneficially or detrimentally impact the future of the organization regarding operational procedures, or how it might limit PT's ability to be political and proactive on contentious LGBTTIQQ2S issues. Please explain why such late notice has been given (approx 48 hours) and without further information to prepare its members to vote and make informed decisions at the AGM? I am writing this letter in an open forum because I believe that I am not the only one who would like answers to the above questions in advance of the AGM. I have to agree with all the negative posts. Pride Toronto has been under fraudulant manipulation since the new ED Tracey Sandilands has been hired. She does not know how to run the corporation as we Canadians do with truth and honour. Hopefully the Board of Directors will see her true colours and send her back to where she came from! Why did we have to hire someone from South Africa? Can we Canadian LGBTTIQQ2S not do a better job?

Lies filled gong show
September 15 2009 3:25 pm, contradictory messaging in Pride Toronto newsletter told its members that: ...Director Elections - all candidates acclaimed, no elections at AGM. This year the Board's Nominations Committee, chaired by Margaret Ngai, fielded applications from three candidates for three available Director positions and an application from one candidate for the Co-chair position. All candidates were interviewed and were deemed to have met the requirements for their positions. In a unanimous vote, the Board voted to recommend all four to the membership. As the number of candidates equal the number of position, all candidates will be acclaimed to their positions. This means that there will not be a need for voting at the AGM. The Directors elected by acclamation are: Francisco Alvarez, Martin Kuplens-Ewart Daniel Knox. The Co-chair elected by acclamation is Jim Cullen. The candidates will be present at the AGM and will each give a brief address regarding their candidacy and take questions from the membership. September 15 2009 6:07 pm, 3 hours later, a correction was sent out containing the following text: ...The voting on candidates for both Director and Co-chair positions will still take place, on a yes or no basis. Candidates need a simple majority to be elected. Ballot papers will be issued on arrival to members and proxies.
